Terms & Conditions

1.1 Agreement to Terms


These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "CA," "Client," or "you") and Klick IT Business Solutions Private Limited ("Accomation," "we," "us," or "our") governing your access to and use of Accomation's Data-Entry Automation, and any other services provided under the brand name of Accomation (collectively, the "Services"). By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to any part of these Terms, you must not access or use the Services.

1.2 Definitions


"Accomation" refers to the accounting automation tool provided by Klick IT Business Solutions Private Limited.

"Services" refers to Accomation's Data-Entry Automation, and any other services provided under the brand name of Accomation.

"CA" refers to Chartered Accountants or Tax Professionals using Accomation.

"Client" refers to the end clients of CAs who interact with Accomation through WhatsApp, Calls or other designated channels.

"User" refers to any individual using Accomation, including CAs, teammates, and Clients.

"Content" refers to any data, text, documents, or other materials transmitted or stored through the Services.

"Tally" refers to the Tally accounting software.

"Primary User"refers to the user with full administrative access and control over the account.

"Secondary User""Secondary User" refers to teammates invited by the Primary User with configurable access levels.

2.1. Feature Description


The Accomation Data-Entry Automation service ("Service") utilizes artificial intelligence, Machine Learning and optical character recognition (OCR) to extract, process, and categorize financial data from various document formats including but not limited to invoices, receipts,

bank statements, bills, and vouchers. The Service automates the manual data entry process, reducing time and errors in accounting workflows.

2.2 Usage Limitations

The Service processes documents on a per-document basis within reasonable size limitations (maximum 10 MB per document).

Users are provided with unlimited access to companies, clients & transactions.

The Service supports the following document formats: PDF, JPG, PNG, Excel (.xls, .xlsx), CSV, and Text files converted to PDFs.

2.3 Data Accuracy and Verification

While the Service employs advanced AI,ML and OCR technology to ensure high accuracy, all extracted and processed data should be verified by the User before final submission or usage in official filings.

Accomation does not guarantee 100% accuracy for data extraction, categorization & auto-ledger suggestions. The User remains responsible for the final verification of all processed data.

The Service's performance may vary based on document quality, clarity, format consistency, and language.

Handwritten documents may have lower accuracy rates compared to printed documents.

Users are advised to review all automated entries before finalizing accounting records.

2.4 Data Security & Privacy

All documents uploaded for processing are encrypted during transit and storage.

Once a client or company is deleted, then the documents and extracted data associated with them are retained for 30 days, after which they are automatically deleted unless specified otherwise.

The Service processes data in compliance with applicable data protection regulations.

Users must ensure they have legal authorization to upload and process any client documents submitted to the Service.

2.5 Service Availability

Accomation targets 99.5% uptime for the Data-Entry Automation feature but does not guarantee uninterrupted service.

Scheduled maintenance will be communicated at least 48 hours in advance.

Emergency maintenance may occur without prior notice to ensure system integrity and security.

2.6 Integration Capabilities

The Service provides integration with Tally, and other accounting platforms as specified in the on the basis of integration functionality of the respective accounting software & their service & integration terms and conditions.

Accomation is not responsible for any changes to third-party APIs that may affect integration functionality.

Advanced integration features may require additional configuration by the User.

2.7 Intellectual property

The AI models, algorithms, and technology powering the Data-Entry Automation feature are the exclusive property of Accomation.

Users retain all rights to their uploaded documents and extracted data.

Usage data and patterns may be anonymized and utilized to improve the Service.

2.8. Liability Limitation

Accomation’s liability related to the Data-Entry Automation feature is limited to the amount paid by the User for the Service in the preceding 12 months.

Accomation is not liable for any business decisions, tax filings, or financial reporting made by the User based on data processed by the Service.

Accomation is not responsible for any losses arising from incorrect data extraction or categorization.

2.9. Subscription & Billing

Subject to the subscription terms & conditions, processing documents beyond the yearly limitwill require an add-on package to continue the usage.

2.10. Termination

Upon subscription termination, access to the Data-Entry Automation feature will cease immediately.

Users may download their processed data within 30 days of termination, after which it will be permanently deleted.

2.11. Modifications of the Service

Accomation reserves the right to modify, enhance, or discontinue aspects of the Data-Entry Automation feature as and when required.

2.12. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

3. INTELLECTUAL PROPERTY RIGHTS


3.1 Accomation Intellectual Property

All intellectual property rights in the Services, including but not limited to software, algorithms, user interfaces, trademarks, logos, and content created by Accomation, are owned by Accomation. Nothing in these Terms grants you any right, title, or interest in or to any such intellectual property rights.

3.2 User Content

You retain ownership of any intellectual property rights in the Content you upload, share, or create while using the Services. By uploading or sharing Content, you grant Accomation a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and display such Content solely for the purpose of providing and improving the Services.

3.3 Feedback

If you provide Accomation with any feedback, suggestions, or recommendations regarding the Services ("Feedback"), you hereby grant Accomation a perpetual, irrevocable, worldwide, royalty-free license to use, incorporate, and commercialize such Feedback without restriction.

4. DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY


4.1 Service Limitations

Accomation does not provide legal or tax advisory services.

Users are advised to consult professional tax advisors for complex tax matters.

4.2 Disclaimer of Warranties

The services are provided "as is" and "as available," without warranty of any kind, either express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Accomation does not warrant that the services will be uninterrupted, error-free, or entirely secure.

4.3 Limitation of Liability

Accomation shall not be held liable for:

Errors resulting from User input

Misinterpretation of GST rules

External system failures

Indirect or consequential damages

In no event shall Accomation’saggregate liability arising out of or related to these terms exceed the total amount paid by you to Accomationin the twelve (12) months preceding the event giving rise to the claim, or INR 12,000, whichever is less.

4.4 Disclaimers of Responsibility

Accomation explicitly disclaims responsibility for the following:

The accuracy or completeness of any document uploaded by the user.

The accuracy of document structuring according to the GST format.

Any missed deadlines or errors related to task or document management.

Any errors or penalties resulting from incorrect data input by the User.

Any service interruptions caused by third-party integrations or services.

Any unauthorized access to User accounts resulting from User negligence.

4.5 AI Specific Liability

User acknowledges Accomation’s AI Technologies use probabilistic methods with inherent limitations and cannot guarantee complete accuracy.

AI-generated outputs (categorizations, classifications, recommendations) are provided "as-is" and do not constitute professional advice.

Accomationexplicitly disclaims that any output represents tax, accounting, legal, or financial advice.

User assumes full responsibility for verifying all AI-generated outputs before implementation.

Accomationshall not be liable for losses arising from misclassification, incorrect extraction, missed transactions, or regulatory non-compliance.

Accomation's maximum aggregate liability is limited to the lesser of: amounts paid for the specific AI feature in the preceding six months or INR 6,000.

User agrees to indemnify Accomationagainst claims arising from inadequate verification or misrepresentation of AI outputs as professional advice.

4.6 Regulatory Compliance

User bears sole responsibility for compliance with all applicable laws and regulations when using Services.

Applicable regulations include tax legislation, GST requirements, company laws, anti-money laundering provisions, and data protection laws.

Accomationwill make reasonable efforts to update Services for regulatory changes but cannot guarantee immediate implementation.

Services do not ensure compliance nor replace professional expertise and judgment.

Chartered Accountants remain bound by ICAI requirements despite using automation tools.

User is responsible for all AML obligations, including KYC procedures and suspicious transaction reporting.

User maintains responsibility for responding to tax authority inquiries and audits.

User represents they possess all necessary professional credentials and qualifications.

User agrees to monitor regulatory changes and implement workarounds when necessary.

User indemnifies Accomationagainst claims arising from regulatory non-compliance or misrepresentation of outputs.

These provisions survive termination of the Terms.

4.7 Technical Infrastructure and Sub processors:

Accomationmay engage third-party Sub processors to assist in providing Services and reserves the right to modify them without prior notice.

Services utilize various infrastructure components including cloud services, third-party APIs, and AI technologies.

Accomationmay modify, replace, or upgrade infrastructure components at any time.

Accomationdisclaims responsibility for third-party API changes, downtime, or security vulnerabilities.

Data may be processed in India and other countries, with compliance to data localization requirements.

Accomationimplements reasonable security measures, backup procedures, and disaster recovery plans.

Maximum liability for infrastructure or Sub processor failures is limited to amounts paid in the preceding six months.

Users agree not to reverse engineer infrastructure or bypass security measures.

Liability limitations survive termination of the Terms.

Accomationreserves the right to modify, suspend, or discontinue any feature or services without notice.

Users will be notified of significant changes via email or in-platform notifications.

5. SUBSCRIPTION AND PRICING

5.1 Service Tiers

Accomation publishes the prices for all services delivered, however, at any point of time, Accomation reserves the right to change the price of these services.Specific pricing and feature access will be detailed in the invoice document.

In case of a change in government fee post purchase of a plan, the customer is liable to pay the difference in government fee in addition to the plan amount.

Accomation reserves the right to offer special discounts on its services to customers from time to time. Such offers can be availed through unique discount codes shared with customers.

Users can upgrade, downgrade, or cancel their subscription subject to our cancellation policy.

5.2 Payment Terms

Subscription fees are payable in advance on monthly or annual basis.

Usage-based billing may apply for document processing beyond plan limits.

Payment methods include credit cards, digital wallets, and bank transfers.

Billing cycles and payment terms will be specified during account setup.

Late payment fees may apply as specified in the subscription agreement.

5.3 Taxes

All fees are exclusive of applicable taxes, which will be charged additionally as appropriate. Users are responsible for paying all taxes associated with their purchase of the Services.

5.4 Refund Policy

Annual subscriptions may be eligible for prorated refunds within the first 48 HOURS. Processing fees for refunds may apply.

6. TERMINATION


6.1 Termination by Accomation

Accomationmay terminate or suspend User accounts for:

Violation of these Terms.

Suspicious or fraudulent activities.

Non-payment of subscription fees.

Misuse of automated features or data manipulation.

Violation of professional standards or regulatory requirements.

6.2 Termination by User

Users can request account closure by contacting Accomation's customer support.

30 days' notice recommended for subscription cancellations to avoid next billing cycle.

Data export and deletion procedures will be initiated upon request.

Users may download all their data including invoices, documents, and reports.

6.3 Effect of Termination

Upon termination:

User access to the Services will cease immediately.

Accomationmay delete all User data after 30 days from the date of termination, unless legally required to retain it longer. It is advisable for the user to download all their documents from Accomationbefore the above-mentioned time duration to avoid losing out on important data.

Any outstanding payment obligations will remain in effect.

Sections pertaining to intellectual property rights, limitation of liability, and indemnification shall survive termination.

7. DISPUTE RESOLUTION

7.1 Informal Dispute Resolution

Before filing a claim against Accomation, you agree to attempt to resolve the dispute informally by contacting Accomationcustomer support. Accomation will attempt to resolve the dispute informally by contacting you via email on hello@accomation.io.

7.2 Arbitration

If the dispute cannot be resolved informally, any controversy or claim arising out of or relating to these Terms shall be settled by binding arbitration in accordance with the Arbitration and Conciliation Act, 1996. The arbitration shall take place in Ahmedabad, Gujarat, India, and shall be conducted in English.

7.3 Class Action Waiver

You agree that any arbitration or legal proceeding shall be limited to the dispute between you and Accomation individually. You will not participate in a class action, collective action, or other joint proceeding as a plaintiff or class member.

8. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Accomation, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that such parties may incur as a result of or arising from:

Your violation of these Terms.

Your use of the Services.

Any false or misleading information provided by you.

Your violation of any law, regulation, or third-party rights.

Any claims arising from your automated data processing or document handling.

Any professional malpractice or negligence in using automated outputs.

Any breach of confidentiality or data protection obligations.

Accomation welcomes User feedback to continuously improve its Services.

Regular product updates based on user suggestions and industry requirements.

User advisory program for beta testing new features.

Community forums for user interaction and knowledge sharing.

10. GENERAL PROVISIONS

10.1 Entire Agreement

These Terms constitute the entire agreement between you and Accomationregarding your use of the Services and supersede all prior agreements and understandings, whether written or oral.

10.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

10.3 No Waiver

Accomation’s failure to enforce any right or provision of these Terms shall not be considered a waiver of such right or provision.

10.4 Assignment

You may not assign or transfer these Terms or your rights under these Terms, in whole or in part, without Accomation’s prior written consent. Accomationmay assign these Terms at any time without notice.

10.5 Force Majeure

Accomationshall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemic, epidemic, war, terrorism, riot, civil unrest, government action, labour disputes, or power failures.

10.6 General terms

At all times, Accomationexpects to maintain a cordial business relationship with its customers. However, suppose the customer comes across as being extremely unreasonable or rude with Accomation staff or its experts. In that case, Accomationreserves the right to cancel the order and terminate the agreement with the customer. In the event of cancellation, the customer will forfeit any payment made to Accomation.

If the customer purchases a plan but is not reachable on any mode of communication for 30 days from the date of purchase, Accomationreserves the right to cancel the order. In the event of cancellation, the customer will forfeit any payment made to Accomation.

In situations where the customer purchases a plan in advance, Accomationteam shall contact the customer for order fulfilment within a reasonable timeframe before the plan expires or the deadline approaches. Customer will cooperate with Accomationto help us deliver the services in a timely manner.

In situations where the service needs to be delivered before a deadline (E.g. Tax filing), Accomationwill clarify the estimated time required to fulfil the service to the customer. Customer is expected to cooperate with Accomationto enable us to deliver the services in a timely manner. In case of any delay in order fulfilment, Accomationshall not bear the cost of any interest or penalty that may be imposed on customers by other parties.

Accomationis governed by the laws of the country. Accomationwill carry out its business in good faith with complete transparency. Accomationreserves the right to refuse any order that it cannot deem to fulfil within the legal and regulatory framework of the country.

I hereby authorize and give consent to Accomationto send me, either through itself or through any third-party service provider, from time-to-time various information / alerts / SMS / other messages or calls or commercial communication, and other services on the aforesaid listed telephone numbers, whether these numbers are registered with National Do Not Call Registry/ listed in National Customer Preference Register or not. I also confirm that by sending any of such messages / calls, I will not hold Accomationits third-party service provider liable / institute complaint under the Telecom Commercial Communications Customer Preference (TRAI) Regulations, 2010 or such other applicable regulations including any amendment thereof, as may be applicable from time to time. It will be auto renewed every month and if you want to stop this service, please write an email to hello@accomation.io before the due date and call our support number +91 9510144696 also once the amount is debited from account it will not be refunded. We will be making promotional calls on your number through a third-party platform and sending SMS'S through a third-party platform.

10.7 Updates and Modifications

These Terms may be updated periodically to reflect changes in services, legal requirements, or business practices.

Material changes will be communicated via email and platform notifications before taking effect.

Continued use of Services after changes constitutes acceptance of updated terms.

11. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in Ahmedabad, Gujarat, India.

By providing your consent, you agree to allow Accomation and its group of companies to contact you for various purposes, including but not limited to marketing, promotions, product updates, surveys, and customer support. Contact may be made via phone calls, text messages, email, or other communication channels.
